FinanceOps Forecasting End-User License Agreement

This End-User License Agreement ("Agreement") governs access to and use of FinanceOps Forecasting (the "Application"), a read-only internal finance forecasting and reporting tool operated by Native Agtech, Inc ("Company," "we," "us," or "our").

By accessing or using the Application, you agree to this Agreement. If you do not agree, do not use the Application.

1. Authorized Use

The Application is provided only for authorized Company users and approved business purposes. You may use the Application solely to view, analyze, and forecast Company financial, accounting, customer relationship, and banking information made available through authorized integrations.

You may not:

• Use the Application for any unlawful purpose.
• Attempt to access data, systems, or accounts you are not authorized to access.
• Reverse engineer, copy, resell, sublicense, or distribute the Application.
• Use the Application to initiate payments, transfers, accounting record writes, or other money movement.

2. Read-Only Financial Integrations

The Application is designed to use read-only integrations where available. It may retrieve data from systems such as QuickBooks Online, HubSpot, and banking data providers for forecasting and reporting purposes.

The Application is not intended to create, edit, delete, or approve accounting records, invoices, bills, payments, bank transfers, wires, ACH transactions, or similar financial actions.

3. User Responsibilities

You are responsible for:

• Maintaining the confidentiality of your credentials and authorized access.
• Ensuring that any data you provide or authorize is accurate and appropriate for Company use.
• Reviewing forecasts and outputs before relying on them for business decisions.
• Complying with Company policies and applicable laws.

4. Forecasts and Business Decisions

The Application provides forecasts, summaries, and decision-support information based on available data and assumptions. Outputs are estimates and may be incomplete, inaccurate, delayed, or affected by source-system data quality.

The Application does not provide legal, tax, accounting, investment, lending, or financial advice. You remain responsible for business decisions made using information from the Application.

5. Ownership

The Application, including its software, workflows, documentation, designs, and related materials, is owned by Company or its licensors. Except for the limited right to use the Application as described in this Agreement, no rights are granted to you.

6. Confidentiality

The Application may display confidential Company information, including financial records, customer information, pipeline data, and bank or accounting information. You must protect this information and may not disclose it except as authorized by Company.

7. Suspension or Termination

Company may suspend or terminate access to the Application at any time, including if Company believes use violates this Agreement, creates security risk, or is no longer authorized.

8. Disclaimer

The Application is provided "as is" and "as available." To the fullest extent permitted by law, Company disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

9. Limitation of Liability

To the fullest extent permitted by law, Company will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost revenue, loss of data, or business interruption arising from or related to use of the Application.

10. Changes

Company may update this Agreement from time to time. Continued use of the Application after an update means you accept the updated Agreement.
